  1. MEMBERSHIP:

Anyone can submitting a prescribed application form along with a sum of monthly fee Rs.100/. In lump sum will be eligible for membership. However, no person shall become a member of the Foundation until and unless approved by the Chairman. The Chairman of Foundation may reject one’s application for membership without any reason.

  1. REMOVAL OF THE OFFICE BEARERS:
  1. If the Managing Committee considers the activity of any member prejudicial to the aims and objective, can be removed from membership on recommendation of simple majority of the M. Committee, in a meeting.
  2. A person shall cease to be member of the Foundation on his death.
  3. A person shall cease to be member of the Foundation on becoming insane.
  4. A person shall cease to be member of the Foundation on approval of his resignation accepted by the Chairman and notified by the General Secretary.
  5. A person shall cease to be member of the Foundation if he remains absent in three consecutive meetings of the society. Even after receipt of meeting notice.
  6. The Management Committee will be entitled to disqualify and similarly is empowered to restore the membership of any person.
  7. The Chairman may terminate one’s membership without assigning any reason. But of course, this privilege will not be exercised very frequently.
  1. ELECTION:
  1. The Foundation shall hold its election after three years. However, a list of office bearers of the Management Committee shall be filed with the Registrar Joint Stock Companies, every year.
  2. The election shall be by voting of members present or proxy.
  3. Every member shall have right to one vote.
  4. In case of tie, the preference would be given to the previous office bearer or the Chairman would decide in case of other category.
  5. Member seeking election shall to fill nomination papers at least two weeks before the date fixed for election.

 

  1. FUNCTIONS OF THE MANAGEMENT COMMITTEE:

The Management Committee will consist of all the signatories of this Memorandum and their successors in this Foundation. The Management Committee shall meet at least once in six months to transact the following business:

  1. To confirm the minutes of the last meeting.
  2. To approve the report of the last meeting.
  3. To plan for the coming quarter.
  4. To decide next date of congregation/ competition.
  5. To observe the audit reports.
  6. The Management Committee shall fill in any vacancy by whatsoever reason it becomes vacant, occurring during its term by simple majority vote.
  7. The management Committee may delegate powers to any individual office bearer or subcommittee for the development or fair work of the Foundation.

FUNCTIONS OF OFFICE BEARERES OF MANAGEMENT COMMITTEE

CHAIRMAN:

  1. To preside over all the meetings of the Foundation.
  2. To administer the affairs of the Foundation and to ensure discipline, harmony & tranquility in the Management.
  3. To exercise all the power of the management Committee while the Management Committee is out of session.
  4. To sign all the correspondence of the Foundation on its behalf and to represent the Foundation in all the courts of law.
  5. To cancel or suspend the membership of any office bearer if he considers his activities to be detrimental to the case of the Foundation. But such decision shall be got confirmed in the next Management Committee meeting.

      PRESIDENT:

  1. To assist the Chairman in all administrative affairs.
  2. To act as Chairman in his absence.
  3. To preside over all the Management Committee meetings in absence of the Chairman.

     GENERAL SECRETARY:

  1. To keep the record of the Foundation in his safe custody.
  2. To prepare the agenda of the meetings of the Management Committee and to circulate the same.
  3. To convene the meetings with the permission of the Chairman.
  4. To record the minutes of the meetings.
  5. To elaborate the action plan of the congregation.

     JOINT SECRETARY:

  1. To act as General Secretary in the absence of General Secretary.
  2. To assist the General Secretary in discharge of his duties toward the Foundation.

    FINANCE SECRETARY:

  1. To manage the collection of funds. And raise it to the necessity of the Foundation.
  2. To maintain the cash account of the Foundation.
  3. To arrange audit of the accounts of the Foundation.
  4. To deposit into and draw cash from the bank with counter signatures of the Chairman / General Secretary.

    MEMBER:

  1. To cooperate the Management body discharge its functions.
  2. To counsel the management body.
  3. To cast vote in the voting session for election or approval of a resolution.
  1. SOURCE OF FUNDING:
  1. The major source of income of the Foundation will be subscription from the members and gifts.
  2. The funds of the Foundation will be gift and alms contributed / dedicated by the Philanthropists and donors.
  3. Collection of gifts etc. from the government as well as philanthropists.
  1. BANKING:
  1. All the cash / receipts of the Foundation would be deposited in a bank account as approved by the Management Committee.
  2. The account would be operated jointly by any one of Chairman or the General Secretary with the Finance Secretary or as approved by the Management Committee.
  1. PROPERTY:

All property and assets of the Foundation shall vest in the Society and not be deemed by the property of any member or members.

  1. AUDIT:

An auditor approved by the Management Committee will audit the accounts of the Foundation every year.

  1. GENERAL MEETING:
  1. The General Secretary will call the routine monthly meetings of Management Committee.
  2. Quorum for each meeting will be ½ of the total membership and no quorum shall be necessary for any adjourned meeting.
  1. SPECIALL MEETING:
  1. The General Secretary will call Special Meeting of the Management Committee in January and July each year.
  2. Quorum for each meeting will be ½ of the total membership and no quorum shall be necessary for any adjourned meeting.
  1. EMERGENCY MEETING:
  1. The General Secretary may call the emergency meeting of Management Committee.
  2. The Management Committee may request the General Secretary to call emergency meeting of the Foundation.
  3. One third of members may request the General Secretary to call emergency meeting of the Foundation.

 

  1. ISSUE OF THE MEETING NOTICE FOR THE MEMBER:
  1. Notice for the Annual Meeting of the Foundation shall be issued not less than a fortnight before the date fixed. The notices for the extra-ordinary General Meeting of the Foundation shall be issued 10 days before the date fixed. In special case, an extra ordinary meeting, however, be called for consideration for urgent matters through notice issued not lass then 5 days before the date fixed.
  2. Notice for the ordinary meeting of the Managing Committee shall be issued not less than five days before the date fixed. An extra-ordinary meeting of Management Committee in special case, May however, be convened for consideration of urgent and important matters on 24 hour notice.
  3. Proposal, if any, from the member / members of the Foundation for discussion and consideration in any meeting of the Foundation may be addressed to Chairman or General Secretary.
  1. QUORUM:

The quorum of the meeting of the Management Committee shall be ½.

  1. AMENDMENTS:

Any amendment, additions or alterations in the articles shall be made in the regular meeting of the Management Committee by two third 2/3 members on roll.

  1. DECISION:

Any decision the Management Committee will be settled by 2/3 of the members present in meeting and in case of the tie, Chairman shall have right to execute his second or casting vote.

  1. DISOLUTION:

If 2/3 of members of Management Committee consider it fit in the best interest of the Foundation best to dissolve the Foundation by any reasons, all the funds and assets of the Foundation shall be dedicated to some other Foundation having like aims and objects after clearance of all liabilities or shall be transferred to any other Foundation whose aims and objectives are similar.

AIMS AND OBJECTIVES OF FOUNDATION

The Foundation shall have & confine its activities to the following objectives:

  • Promotion of knowledge & awareness amongst general public.
  • To meet patients’ needs of blood and medicines for patients.
  • Regarding the registration and requirement of birth and death.
  • Helping whispered people and making them a financial system for future troubles.
  • Organizing the marriage with gifts for members.
  • Helping the debt paying debt while finding the nature and the condition of the debt.
  • Helping unemployed members to find work according to their ability.
  • Record the members according to their profession and use their services to improve others.
  • Providing life requirements on instalment for members.
  • Helping members to repair and exchange the home appliances without any extra charges for 30 days installment. If charges are expansive then give time to pay with little extra charge.
  • Helping file tax and FBR files and documentaries.
  • Finding a solution with any help of the court in case of any difference between any institution or company and shopkeepers.
  •  In case of any injustice, ensure the access of members to the rulers and officers.
  • Supporting license and files as well as incorrect entry case.
